OneBid Terms of Service
1. Acceptance of Terms
Welcome to OneBid. By accessing or using the OneBid platform (the "Platform"), whether as a
homeowner or contractor, you agree to be bound by these Terms of Service ("Terms"). If you do not agree
to these Terms, you may not access or use the Platform.
OneBid reserves the right to modify these Terms at any time. We will notify users of material changes via
email or through the Platform. Your continued use of the Platform after such modifications constitutes
acceptance of the updated Terms.
2. Description of Service
OneBid is a technology platform that connects homeowners seeking home improvement services with
verified contractors. OneBid provides tools to facilitate communication, pricing guidance, and project
matching between users.
Important: OneBid is a platform service only. We are not a contracting company, construction firm, or
home improvement service provider. We do not perform any contracting work, and we are not a party to
any agreements between homeowners and contractors.
3. User Accounts
3.1 Account Creation
To use OneBid, you must create an account and provide accurate, complete, and current information. You
are responsible for maintaining the confidentiality of your account credentials and for all activities that
occur under your account.
3.2 Account Eligibility
You must be at least 18 years old to use OneBid
Contractors must possess all required licenses, insurance, and permits required by their jurisdiction
You must provide accurate information during registration and keep your account information
updated
3.3 Account Termination
You may terminate your account at any time through your account settings. OneBid reserves the right to
suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for any other
reason at our sole discretion.
4. User Responsibilities
4.1 Homeowners
As a homeowner using OneBid, you agree to:
Provide accurate and complete information about your project
Set realistic project budgets using the pricing guidelines provided
Communicate promptly and professionally with contractorsCreate your own contracts and agreements with contractors you hire
Be responsible for all payments, arrangements, and agreements made with contractors
Verify contractor credentials, licenses, and insurance before entering into any agreement
Comply with all applicable local, state, and federal laws
4.2 Contractors
As a contractor using OneBid, you agree to:
Maintain all required licenses, permits, and insurance as required by your jurisdiction
Provide accurate information about your business, credentials, and experience
Respond to project opportunities in a timely and professional manner
Honor any bids or counter-offers you submit on the Platform
Pay all applicable subscription fees on time
Perform work according to industry standards and local building codes
Handle all contracts, warranties, and liability directly with homeowners
Comply with all applicable local, state, and federal laws
4.3 All Users
All users agree to:
Not use the Platform for any illegal or unauthorized purpose
Not impersonate any person or entity
Not transmit any viruses, malware, or harmful code
Not harass, abuse, or harm other users
Not post false, misleading, or defamatory content
Not attempt to circumvent the Platform to avoid fees
Maintain the confidentiality of other users' personal information
5. How OneBid Works
5.1 Project Posting
Homeowners post projects with descriptions, budgets, and requirements. OneBid provides pricing
guidance resources to help homeowners set appropriate budgets, but homeowners are solely responsible
for setting their project prices.
5.2 Contractor Response Options
When a contractor views a project, they have three options:
1. Accept - Agree to complete the project at the homeowner's stated price
2. Counter - Submit ONE counter-offer with a different price and explanation
3. Pass - Decline the project opportunity
Each contractor may only submit one response per project (either an acceptance or a single counter-offer).
5.3 Homeowner Decision
If a contractor submits a counter-offer, the homeowner may:
Accept the counter-offer
Decline the counter-offer
Select a different contractor who accepted the original price
5.4 Connection and Agreement
Once a homeowner selects a contractor (whether accepting the original bid or a counter-offer), OneBid
facilitates the introduction. All subsequent arrangements, contracts, payments, scheduling, and work
performance occur directly between the homeowner and contractor.
6. Fees and Payment
6.1 Homeowner Fees
OneBid is currently free for homeowners to use. We reserve the right to implement fees for homeowners
in the future with advance notice.
6.2 Contractor Subscription Fees
Contractors must pay a monthly subscription fee to access project opportunities on OneBid. Subscription
fees are charged monthly in advance and are non-refundable except as required by law.
Current subscription tiers and pricing are displayed during the sign-up process and in your account
settings.
6.3 Contractor Subscription Payment Processing
Contractor subscription payments are processed through OneBid using third-party payment processors.
By providing payment information, you authorize OneBid to charge your account for subscription fees
according to your selected subscription plan.
6.4 Failed Subscription Payments
If a subscription payment fails, OneBid may suspend or terminate your contractor account until payment
is received. You remain responsible for any unpaid subscription fees.
6.5 Project Payments Between Users
OneBid does not process, facilitate, or handle any payments for project work. All payments for services
are arranged and made directly between the homeowner and contractor outside of the Platform. OneBid
has no involvement in project payments and takes no commission or fees from project transactions.
7. Platform as Intermediary Only
7.1 Not a Party to Agreements
OneBid is not a party to any contracts, agreements, or arrangements between homeowners and
contractors. We do not employ contractors, guarantee work quality, or assume responsibility for project
outcomes.
7.2 Independent Contractors
All contractors on OneBid are independent businesses. They are not employees, agents, or representatives
of OneBid.
7.3 User Agreements
Users are solely responsible for creating appropriate contracts, obtaining necessary permits, arranging
insurance coverage, and complying with all applicable laws regarding their agreements and work
performed.
8. Contractor Vetting and Verification
8.1 Verification Process
OneBid conducts basic verification of contractor licenses, insurance, and credentials during the
application process. However, this verification:
Does not constitute an endorsement or guarantee
Does not ensure work quality or reliability
Does not replace your responsibility to conduct your own due diligence
May not catch all false or expired credentials
8.2 User Responsibility
Homeowners are responsible for verifying contractor credentials, checking references, reviewing
insurance coverage, and making informed hiring decisions. OneBid provides verification tools but does
not guarantee the accuracy or completeness of any information.
8.3 Removal of Contractors
OneBid reserves the right to remove contractors from the Platform at any time for any reason, including
but not limited to violations of these Terms, complaints from users, or failure to maintain required
credentials.
9. Pricing and Estimates
9.1 Pricing Guidance
OneBid provides pricing guidelines and resources to help homeowners establish reasonable project
budgets. These are educational tools only and are not guarantees of actual costs. Actual project costs may
vary based on materials, labor, location, and project specifics.
9.2 No Price Guarantees
OneBid makes no representations or warranties regarding the accuracy of pricing information, contractor
bids, or counter-offers. Users are responsible for determining fair and reasonable pricing.
9.3 Counter-Offers
Contractors may submit one counter-offer if they believe the homeowner's budget requires adjustment.
Counter-offers must include an explanation. The homeowner has sole discretion to accept or decline any
counter-offer.
10. Disputes Between Users
10.1 User Responsibility
Any disputes between homeowners and contractors regarding project scope, quality, payment, timeline, or
other matters are the sole responsibility of those parties. OneBid is not involved in dispute resolution
between users.
10.2 Reporting Issues
Users may report violations of these Terms, fraudulent activity, or safety concerns through the Platform.
OneBid will investigate reports and may take action including removing users from the Platform, but
OneBid has no obligation to mediate disputes or resolve conflicts.
10.3 Legal Action
Users agree to pursue any legal remedies directly with each other and not hold OneBid liable for disputes
arising from agreements made through the Platform.
11. Reviews and Ratings
11.1 User Reviews
Users may leave reviews and ratings for contractors and homeowners after project completion. Reviews
must be honest, accurate, and based on actual experiences.
11.2 Prohibited Review Content
Reviews may not contain:
Profanity, hate speech, or discriminatory language
Personal information (phone numbers, addresses, email addresses)
Spam, advertising, or promotional content
False or misleading statements
Content that violates any law or third-party rights
11.3 Review Moderation
OneBid reserves the right to remove reviews that violate these Terms or are reported as inappropriate. We
do not guarantee the accuracy of any user-generated content.
12. Intellectual Property
12.1 OneBid Property
The OneBid Platform, including all content, features, functionality, software, logos, trademarks, and
design, is owned by OneBid and protected by copyright, trademark, and other intellectual property laws.
12.2 Limited License
OneBid grants you a limited, non-exclusive, non-transferable license to access and use the Platform for its
intended purpose. You may not copy, modify, distribute, sell, or reverse engineer any part of the Platform.
12.3 User Content
You retain ownership of any content you post on OneBid (project descriptions, photos, reviews). By
posting content, you grant OneBid a worldwide, non-exclusive, royalty-free license to use, display,
reproduce, and distribute your content in connection with the Platform and our marketing materials.
12.4 Feedback
Any feedback, suggestions, or ideas you provide to OneBid become our property, and we may use them
without compensation or attribution.
13. Privacy and Data
Your use of OneBid is also governed by our Privacy Policy, which is incorporated into these Terms byreference. By using OneBid, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.
14. Disclaimers and Warranties
14.1 Platform Provided "As Is"
THE ONEBID PLATFORM IS PROVIDED ON AN "AS IS" AND "AS A V AILABLE" BASIS
WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT
NOT LIMITED TO WARRANTIES OF MERCHANTABILITY , FITNESS FOR A PARTICULAR
PURPOSE, NON-INFRINGEMENT, OR ACCURACY .
14.2 No Guarantees
OneBid does not guarantee:
The quality, safety, or legality of services provided by contractors
The accuracy of user-provided information
That contractors have appropriate licenses, insurance, or qualifications
That projects will be completed as agreed
That the Platform will be uninterrupted, secure, or error-free
That any information or pricing guidance is accurate or up-to-date
14.3 Third-Party Services
OneBid may integrate with third-party services (payment processors, verification services, etc.). We are
not responsible for the performance, reliability, or policies of third-party services.
14.4 User Verification
While OneBid attempts to verify contractor credentials, we cannot guarantee the accuracy of any
verification. Homeowners must conduct their own due diligence before hiring any contractor.
15. Limitation of Liability
15.1 No Liability for User Transactions
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEBID SHALL NOT BE LIABLE FOR
ANY DAMAGES ARISING FROM:
Services provided or not provided by contractors
Disputes between homeowners and contractors
Property damage, personal injury, or financial loss resulting from projects
Fraud, misrepresentation, or misconduct by users
Payment disputes or non-payment for services
Breach of contract between users
Any actions or omissions of contractors or homeowners
15.2 General Limitation
IN NO EVENT SHALL ONEBID'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU
PAID TO ONEBID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO
LIABILITY , OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.15.3 Exclusion of Damages
ONEBID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA,
PERSONAL INJURY , OR PROPERTY DAMAGE.
15.4 State Law
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of
the above limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless OneBid, its officers, directors, employees, agents, and
affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys'
fees) arising from:
Your use of the Platform
Your violation of these Terms
Your violation of any rights of another party
Any agreements or disputes between you and other users
Services performed or received through the Platform
Any content you post on the Platform
Your failure to comply with applicable laws or regulations
17. Insurance and Liability
17.1 Contractor Insurance Requirements
Contractors must maintain appropriate insurance coverage including general liability insurance and
workers' compensation insurance as required by their jurisdiction. OneBid may verify insurance coverage
but makes no guarantees regarding adequacy of coverage.
17.2 Homeowner Responsibility
Homeowners are responsible for verifying that contractors have appropriate insurance coverage before
entering into any agreement. OneBid recommends obtaining certificates of insurance directly from
contractors.
17.3 OneBid Not Liable
OneBid does not provide insurance coverage for projects and is not liable for damages, injuries, or losses
occurring during or after project completion.
18. Termination
18.1 Termination by User
For Homeowners:
You may terminate your account at any time through your account settings. Termination does not relieve
you of any obligations under existing agreements with contractors.
For Contractors:
To cancel your subscription and terminate your account, you must contact OneBid directly at
hello@weareonebid.com or call our support team. Account termination does not relieve you of any
obligations under existing agreements with homeowners or any outstanding subscription fees owed toOneBid. Subscription fees are non-refundable, and you remain responsible for any unpaid fees through
the end of your current billing period.
18.2 Termination by OneBid
OneBid may suspend or terminate your account immediately, without notice, for:
Violation of these Terms
Fraudulent activity or misrepresentation
Non-payment of fees
Complaints from other users
Any conduct that OneBid deems harmful to the Platform or other users
Any reason or no reason at OneBid's sole discretion
18.3 Effect of Termination
Upon termination:
Your access to the Platform will be revoked
You remain liable for any outstanding fees
You remain bound by any agreements with other users made before termination
Sections of these Terms that by their nature should survive termination will continue to apply
18.4 No Refunds
Subscription fees are non-refundable except as required by law. If your account is terminated mid-billing
period, you will not receive a pro-rated refund.
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
19.2 Arbitration Agreement
Any dispute arising from these Terms or your use of OneBid shall be resolved through binding arbitration
in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial
and to participate in class action lawsuits.
19.3 Exceptions to Arbitration
Either party may seek injunctive relief in court to prevent unauthorized use of intellectual property or
violation of confidentiality obligations.
19.4 Venue
If arbitration does not apply, any legal action must be brought in the state or federal courts located in
Texas, and you consent to the exclusive jurisdiction of those courts.
20. General Provisions
20.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and OneBid
regarding use of the Platform.20.2 Modification of Terms
OneBid reserves the right to modify these Terms at any time. We will provide notice of material changes
via email or Platform notification. Your continued use after modifications constitutes acceptance.
20.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full
effect.
20.4 No Waiver
OneBid's failure to enforce any right or provision of these Terms does not constitute a waiver of that right
or provision.
20.5 Assignment
You may not assign or transfer these Terms or your account without OneBid's written consent. OneBid
may assign these Terms without restriction.
20.6 Force Majeure
OneBid is not liable for any failure to perform due to circumstances beyond our reasonable control,
including natural disasters, war, terrorism, labor disputes, or internet service disruptions.
20.7 Notices
Notices to OneBid should be sent to hello@weareonebid.com. Notices to you will be sent to the email
address associated with your account.
20.8 Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between
OneBid and any user.
